Sammy taking over Sega

TOKYO--In a joint statement today, Sega and Sammy announced they will be "merging operations" in October by becoming subsidiaries of a new holding company, Sega Sammy Holdings. Once merged, Sega and Sammy's combined annual income for the fiscal year of 2005 are expected to be at 501 billion yen ($4.4 billion), making it one of the biggest game companies in Japan.

However, according to Bloomberg News, the announcement is actually a takeover of Sega by Sammy. Under the terms of the deal, Sammy, which already owns nearly 25 percent pf Sega, will exchange about 165 billion yen ($1.45 billion) of stock in the new company for Sega's remaining shares.

Each share of Sammy will be swapped for one share of Sega Sammy Holdings, while each share of Sega will be swapped for 0.28 of a share. The deal will give current Sammy shareholders control of nearly three-quarters of the new company's voting stock.

Today's takeover recalls a similar attempt between Sega and Sammy to merge in 2003. Seven months after that deal fell through last May, Sammy bought 22.4 percent of Sega from its biggest shareholder, the CSK corporation. Since then, several high-level, old-guard Sega executives have resigned and Sammy president Hajime Satomi has become chairman of the publisher's board. Satomi will continue to hold the top position in the new company, sitting as both chairman and president of Sega Sammy Holdings.

With Sega's development skills and Sammy's finances as the largest Pachinko slot machine manufacturer in the world, the two companies hope to play a dominant role in all markets of the entertainment industry that the two companies currently have businesses in: console gaming, pachinko, "pachislot" (pachinko/slot machines), amusement, arcade games, and the content services market.

Sammy and Sega's stocks will be withdrawn from the Tokyo Stock Exchange on September 27, prior to the launch of Sega Sammy Holdings in October 1. While Sega and Sammy will continue to run as separate entities at first, plans have been announced for the two companies to merge and be reorganized into four new divisions by 2007: pachinko and pachislot, amusement and consumer games, media content and network, and miscellaneous.

Following the announcements, Sega also revealed it will be merging its divisions together. Starting July 1, Sega's seven subsidiaries--Sega Wow, Sega AM2, Hitmaker, Sonic Team, Smilebit, Amusement Vision, and Digitalrex, will begin integrating back into Sega.

I'm glad it's happening. SEGA obviously wasn't able/willing to produce quality games anymore. Now, they're just one step closer to selling off their properties and going bankrupt.

Arrow SEGA obviously wasn't able/willing to produce quality games anymore.

Obviously? I don't know about that. I haven't had a problem with the SEGA games I've been purchasing these past few years. And why are you glad they're closer to going bankrupt? I'd figure if you didn't like the games they were making you simply wouldn't purchase them. Why the contempt?

I'll admit, some of their titles in the past few years were good games. However, aside from their football games, most of their properties have lost something, rather than gained.

Sega is a company that seems to not want to make money. They seem to intentionally piss off their fans. At the end of the Saturn's life, they released 4 games, two of them of insanely high quality (PDS, SF3), and deliberatly released them in the most rediculous qualities (5k copies each). PDS saw a rerun of an additional 5k copies.

When the Dreamcast died, they announced that they would continue to support it for a full year, and that all planned titles would still be released. They then went on a cancellation spree.

I've been hoping for more than a few years that they would go bankrupt and their liscenses would get sold off. It was a pipe dream of mine to see their Shining Force liscense be sold to Camelot.

Oh, and let's not forget their "platform agnostic" approach. It meant 3 lines of exclusive titles, jackasses. Bascially, I'm not normally a brand loyal fanboy, but when it comes to Sega, I hate them with a passion. My viewpoints towards them and many of there games are less than reasonable, and I'll freely admit that.

When the Dreamcast was still kicking, Sega released a slew of imaginative, high quality titles. It was a gaming Golden Age the likes of which we see only once every few years. But since they've taken on their "platofrm agnostic" stance the number of qualities games has slowed to a trickle (and games like Otogi aren't even developed by Sega), and they are mostly releasing ports (how many times did they repackage PSO!?), and mediocre games (ahem, Sonic Heroes).

I've always felt that Sega's main weakness was its marketting dept (at least here in the US, does anyone remember those god awful commercials and magazine ads for most saturn games?) and somewhat lack of variety.

It seems for every game of the usual category, there were also 10 sports games, or something to that effect.

Nevertheless an era is ending and a legacy has probably entered its final stage of humiliation.

I have some fond memmories of Sega games.

This was inevitable. Sega has been losing money in the console sector since 1995, with their arcade revenue keeping them afloat. By the time they cut the costs of maintaining a console, they had burned so many bridges that a lot of their core audience didn't care any more. They still haven't made a game as a third party that has sold as well as the original Sonic Adventure or NFL 2K1.

The only that's really sad is that they had an opportunity to merge with Namco and could have created an arcade powerhouse beyond reproach. But being idiots, they opted out of it, and now they got owned (literally) by a Pachinko company.

The quality of their games as a third party has been garbage as well. VF4/Evo, PDO, JSRF, and a few other games have been good. But stuff like Sonic Heroes is just garbage, and they can only repackage Dreamcast games like Space Channel 5 and F355 so many times.

I just hope Virtua Fighter 5 is released before the final shred of what they once were goes down the toilet. Too bad we'll never see a Shenmue III, but we've known that since they totally botched the release of Shenmue II.

Well it fell under the cancelling spree you mentioned before. The cancellation of Toejam & Earl 3, Rez, Headhunter, and Shenmue II was the ultimate slap in the face.

On top of that, the Xbox port wasn't even upgraded at all like they said it would be, and they release it on the same day as the top selling game of the last two generations (Vice City).

Everyone imported the PAL version for Dreamcast which ran perfectly with a boot disc (only needed to download a 1.5 MB file and burn it). Dumb, dumb, dumb.

Something that stupid almost seems intentional. Peter Moore is now spreading his genius at Microsoft (Blinx 2 - Still Suck'n), so maybe it was.

When they released SM2 on XBox, they claimed that any released of SM3 would be based off the sales of SM2.

All I've heard so far is that they're not happy about the sales of SM2. It's been long enough, we should at least know by now if Sega intends to do a sequel. Yu Suzuki has said he even wants to puy it off for a bit.
